NOTICE OF PROPOSED AMENDMENT OF THE
CONSTITUTION AND BYLAWS OF THE
FRENCH BRITTANY GUN DOG ASSOCIATION OF AMERICA, INC.
Pursuant
the Constitution and Bylaws of the French Brittany Gun Dog
Association of America, Inc. effective April 1, 2006, the Board of
Directors hereby gives formal notice to the membership of a
recommendation by the Board of Directors to amend the Constitution and
Bylaws as follows:
Article
I of the Constitution shall be amended to provide specifically as
follows:
“This
Corporation and its association of members shall be known
as “Club de l’Epagneul Breton of the United States,
Inc.” The official corporate emblem/logo of the
Corporation
shall be as depicted in Exhibit “A-1” and Exhibit
“A-2” attached to this Constitution and
Bylaws.”

Explanation
of Proposed Change and Amended Balloting:
The
proposed
constitutional amendment shall become legally effective immediately
upon ratification by the membership.
In July of 2008 ballots were mailed to the membership to
ratify a previous and slightly different recommended change of
corporate name and adoption of a new and updated corporate emblem and
logo. Subsequent to the mailing of those ballots in July, additional
recommendations were made by club members and friends of the club
concerning the proper French translation of the official corporate
name. It was suggested at that time that the official name of the club
be amended to “Club de l’Epagneul Breton of the
United States, Inc.” Some
additional recommendations were also made concerning further refinement
of the drawing of the fictional representative of the Epagneul Breton
breed as depicted in the proposed new corporate emblem/logo. The Board
of Directors deemed those suggestions concerning the proper name of the
Corporation and the design of the club emblem/logo to be meritorious
and proper. Accordingly,
the Board took prompt official action to resolve to amend the previous
resolution passed in June 2008 and has formally recommended adoption of
the changes to the Constitution as reflected above.
The Board took further official action to rescind the
previous balloting and to nullify the results of the ballots previously
mailed to the membership on July 15, 2008, so that new ballots could
decide the issue. New
ballots will be sent to the membership in August to vote upon and to
ratify the recommended changes explained herein.
The Board of Directors encourages you to complete, sign
and return the new amended ballots by U.S. Mail no later than September
15, 2008, so that your ballot may be counted.
The results of the balloted election will be determined
based on the amended ballots to be mailed in August and will be
reported to the membership on or shortly following October 1, 2008.
